other similar damage (including those resulting from loss of data, income, profit, use or other economic benefit) arising from or in any way related to the Platform or the Agreement, including but not limited to the use or impossibility of use of the Platform or any content obtained by means of the Platform, any interruption, inaccuracy, error or omission, whatever the cause and even if Connect&GO or its licensors had been previously advised of the possibility of the occurrence of such damage or that such damage could have reasonably been foreseen. 10.3 Exceptions. The limits and exclusions provided under subsections 10.1 and 10.2 above shall not apply to the indemnification undertakings nor to any breach of each party's confidentiality obligation. 11. CONTRACT PERIOD AND TERMINATION 11.1 Term. The Agreement comes into effect on the Effective Date and remains in effect until the expiration of the 3-year term or termination under the conditions of subsection 11.2. The Client’s right to access and use the Platform begins on the start date stipulated under the Agreement and continues during the subscription period specified in the Purchase Agreement, which may not be less than 1 year (the “ Initial Period ”). If the parties wish to continue a services agreement following the expiration of the 3-year term, then at least 90 days before the expiration of the 3-year term, the parties shall endeavor to begin negotiating a new Agreement; otherwise, the services shall end upon expiration of the term. 11.2 Termination for Cause. The Agreement may be terminated for cause by the Client as follows: (i) the Connect&GO system downtime is greater than 2.5%, or (ii) immediately and without the need for prior notice when the other party ceases its business and operations, except when such cessation of business results in a transfer of its rights and obligations permitted by the Agreement or (iii) any material breach or default by Connect&GO under this Agreement. Connect&GO may temporarily suspend the performance of its obligations during a Client remediation period set out above. 11.3 Termination Without Cause. If the Agreement and/or the Purchase Agreements then in effect is terminated without cause by the Client, the Client will be responsible to pay Connect&GO 100% of the total contract value for current year and any remaining years, including the committed minimum admissions per year for the contract term (3 years). 11.4 Penalty. Given the costs incurred by Connect&GO to allow the Client to spread out the costs related to the establishment of the Platform over a longer period of time, in the event of termination without cause by the Client or due to a default of the Client to comply with a material provision of the Agreement, where the Client does not remedy such default within the period set out under subsection 11.2, the Client undertakes and agrees to pay Connect&GO all costs relating to Software provided for in the Agreements then in effect, and this, for the entire Initial Period set out under the Purchase Agreement. Notwithstanding the foregoing, a good faith dispute shall not be deemed or considered a default by either party under this agreement. 11.5 Effect of Termination. Except for Hardware, upon termination of the Agreement and/or a Purchase Agreement, the right to access and use the Platform shall terminate immediately, including without limiting the generality of the foregoing, RFID Chips, and Software Usage Rights. 11.6 Recovery of Client-Data. In the event of termination or expiration of the Subscription Period set out under a Purchase Agreement and provided that no amount is due to Connect&GO by the Client , at the Client’s request made within 60 days following the
