 Protection  of  Personal  Information  and  Privacy    Under  this  schedule  and  Privacy  Laws,  the  Client  is  deemed  to  be  the  controller  of  data  and  
Connect&GO
 
is
 
deemed
 
to
 
be
 
responsible
 
for
 
the
 
processing
 
of
 
data.
  The  Client  and  Connect&GO  warrant  that  they  shall  comply  with  all  obligations  under  Privacy  
Laws
 
with
 
respect
 
to
 
the
 
Personal
 
Information
 
that
 
they
 
collect
 
or
 
that
 
is
 
disclosed
 
to
 
them
 
under
 
the
 
Agreement.
  1.  DEFINITIONS   Unless  otherwise  expressly  provided,  all  capitalized  terms  herein  have  the  same  meaning  as  
those
 
provided
 
in
 
the
 
Agreement.
 
If
 
a
 
term
 
is
 
not
 
defined
 
in
 
the
 
Agreement
 
or
 
this
 
schedule,
 
it
 
shall
 
have
 
the
 
meaning
 
given
 
to
 
it
 
under
 
the
 
Laws
 
applicable
 
to
 
the
 
protection
 
of
 
personal
 
information.
  “ Client  Personal  Information ”  means  (i)  Personal  Information  included  in  the  Client-Data,  
including,
 
without
 
limitation,
 
all
 
Personal
 
Information
 
concerning
 
Authorized
 
Users,
 
and
 
(ii)
 
Personal
 
Information
 
communicated
 
to
 
Connect&GO
 
while
 
providing
 
the
 
Additional
 
Services.
  “ Privacy  Laws ”  means  Act  respecting  the  protection  of  personal  information  in  the  private  sector  
(Quebec),
 
the
 
Personal
 
Information
 
Protection
 
and
 
Electronic
 
Documents
 
Act
 
(Canada)
 
and
 
all
 
other
 
applicable
 
laws
 
governing
 
the
 
processing
 
of
 
Personal
 
Information.
  •  Object  and  Purpose  of  Processing:   •  Connect&GO  shall  process  the  Client  Personal  Information  to  provide  the  Client  
and
 
its
 
employees
 
access
 
to
 
a
 
Platform
 
for
 
access
 
control,
 
cashless
 
payment,
 
online
 
ticketing,
 
and
 
any
 
other
 
additional
 
content,
 
tools,
 
and
 
sets
 
of
 
services
 
that
 
are
 
part
 
of
 
the
 
product
 
lines
 
marketed
 
by
 
Connect&GO.
  •  When  the  Client  has  purchased  Additional  Services,  Connect&GO  shall  process  
the
 
Client
 
Personal
 
Information
 
for
 
the
 
purpose
 
of
 
providing
 
all
 
or
 
part
 
of
 
the
 
Additional
 
Services
 
on
 
behalf
 
of
 
the
 
Client
,
 
as
 
stipulated
 
under
 
the
 
Agreement.
  •  Processing  Term:  During  the  Subscription  Period.   •  Types  of  Client  Personal  Information  Processed:  last  name,  first  name,  address,  email,  
and
 
purchase
 
history,
 
as
 
applicable.
  •  Subject  Categories  of  Personal  Information:  the  Client’s  clients,  employees,  and  
self-employed
 
workers
 
serving
 
the
 
Client
.
  2.  UNDERTAKINGS  REGARDING  THE  PROCESSING  OF  PERSONAL  INFORMATION   Connect&GO  agrees  that,  with  respect  to  the  Client  Personal  Information,  it  must  (a)  process  it  
only
 
for
 
the
 
purpose
 
of
 
enabling
 
the
 
functionality
 
of
 
the
 
Platform
 
for
 
the
 
Client
;
 
(b)
 
not
 
disclose
 
the
 
Client
 
Personal
 
Information
 
to
 
any
 
other
 
person
 
without
 
the
 
Client’s
 
prior
 
written
 
consent,
 
unless
 
disclosure
 
is
 
required
 
by
 
an
 
applicable
 
law
 
(and
 
Connect&GO
 
immediately
 
notifies
 
the
 
Client
 
thereof,
 
unless
 
such
 
notification
 
is
 
prohibited
 
by
 
the
 
law);
 
(c)
 
take
 
the
 
necessary
 
measures
 
to
 
explain
 
and
 
ensure
 
that
 
Connect&GO
 
staff
 
involved
 
in
 
the
 
processing
 
of
 
the
 
Client
 
Personal
 
Information
 
comply
 
with
 
Connect&GO’s
 
obligations
 
regarding
 
confidentiality
 
and
 
the
 
processing
 
of
 
personal
 
information
 
under
 
the
 
terms
 
of
 
the
 
Agreement,
