dd) “ Third-Party Products ” means software or other third-party systems which the Client requests to be integrated into, or interfaced with, the Platform such as enterprise resource planning (ERP) or other third-party systems. ee) “ Timetable ” has the meaning set out in subsection 3.1. ff) “ Total ” has the meaning set out in Schedule B. gg) “ Usage Rights ” means a non-exclusive and non-transferable right of access and use granted by Connect&GO to the Client and to Authorized Users during the Subscription Period. 2. PLATFORM 2.1 Agreement. The Agreement sets out the provisions governing: (i) the purchase, by the Client , of Hardware, Software Usage Rights, and Additional Services, in connection with the Platform, (ii) the provision of the Platform by Connect&GO and its use by the Client , and (iii) the provision of Additional Services to the Client . Each purchase by the Client shall be made by means of a Purchase Agreement, which shall stipulate, among other things, the quantities, prices, other fees, and terms of payment and other provisions of commercial nature applicable to each transaction. Each Purchase Agreement shall constitute a separate contract, incorporating the terms of the Agreement, but enter into on the respective date of each Purchase Agreement. The Client may purchase Hardware, Software Usage Rights, and Additional Services by executing additional Purchase Agreements. Regarding the rights of access and use of Software, the Subscription Period applying to such add-ons shall end on the same date as the Subscription Period then in effect under the applicable Purchase Agreement. 2.2 Hardware 2.2.1 Purchase of Hardware. When applicable under a Purchase Agreement, the Client purchases from Connect&GO the Hardware specified in that Purchase Agreement, in accordance with the provisions of the Agreement and the applicable Purchase Agreement. 2.2.2 Hardware Warranty . Under the terms and conditions set out in Schedule B, Connect&GO shall provide a warranty against damaged Hardware. Warranty claims can be initiated as indicated in Schedule B as well as by any other method adopted by Connect&GO from time to time. 2.3 Software. 2.3.1 Software Usage Rights. Connect&GO grants the Client Usage Rights over the Software and, more generally, the Platform, during the Subscription Period in accordance with the Agreement and the respective Purchase Agreements then in effect. 2.3.2 Provision. Connect&GO may, from time to time, deploy updates to the Software, but agrees not to make any changes to the Software or the Platform during the Subscription Period that could result in a significant reduction of the Platform’s functionality. Tests relating to each significant update shall be carried out beforehand by Connect&GO and the person responsible for the Client’s Platform shall be required to participate in such testing. The Agreement shall apply to all updates, upgrades, and new Software modules associated with the Platform and deployed by Connect&GO or subsequently acquired by the Client during the
