3.  DEPLOYMENT  OF  THE  PLATFORM   3.1  Timetable.  Within  45  days  of  the  execution  of  this  Agreement,  the  parties  undertake  to  
establish
 
a
 
timetable
 
setting
 
out
 
each
 
of
 
the
 
phases
 
and
 
sub-phases
 
relating
 
to
 
the
 
deployment
 
of
 
the
 
Platform
 
(the
 
“
Timetable
”),
 
a
 
copy
 
of
 
which
 
Timetable
 
shall
 
be
 attached  hereto  as  Schedule  D.  3.2  Modifications  to  the  Timetable.  The  parties  agree  and  accept  that  the  Timetable  is  a  
working
 
document
 
that
 
shall
 
evolve
 
depending
 
on
 
the
 
discussions
 
and
 
the
 
deployment
 
of
 
the
 
Platform
 
and
 
may
 
therefore
 
be
 
subject
 
to
 
subsequent
 
modifications.
 
Any
 
subsequent
 
modifications
 
to
 
the
 
Timetable
 
shall
 
be
 
deemed
 
to
 
form
 
part
 
of
 
the
 
definition
 
of
 
the
 
term
 
“Timetable”
 
used
 
herein.
Collaboration
 
and
 
Follow-Up.
 
The
 
parties
 
undertake
 
to
 
respect
 
the
 
deadlines
 
indicated
 
in
 
the
 
Timetable,
 
to
 
collaborate
 
with
 
each
 
other
 
at
 
all
 
times,
 
in
 
particular
 
by
 
providing
 
any
 
verbal
 
or
 
written
 
information,
 
by
 
transmitting
 
any
 
document
 
that
 
may
 
be
 
required
 
and
 
by
 
eliminating,
 
as
 
applicable,
 
any
 
obstacle
 
under
 
their
 
control
 
that
 
hinders
 
the
 
effective
 
performance
 
of
 
the
 
Agreement
 
and
 
the
 
Purchase
 
Agreements.
 
Each
 
party
 
undertakes
 
to
 
assign
 
a
 
person
 
in
 
charge
 
of
 
the
 
Platform
 
and
 
ensure
 
that
 
such
 
person
 
is
 
present
 
and
 
actively
 
participates
 
in
 
the
 
follow-up
 
meetings.
  Without  limiting  the  foregoing,  Connect&GO  undertakes  to  schedule  follow-up  meetings  with  the  Client  and  to  maintain  an  up-to-date  list  of  actions  to  be  carried  out  by  each  of  the  parties.   The  person  responsible  for  the  Platform  designated  by  the  Client  in  accordance  with  the  
provisions
 
of
 
this
 
subsection
 
is
 
also
 
responsible
 
for
 
the
 
internal
 
supervision
 
of
 
the
 
site
 
and
 
for
 
notifying
 
Connect&GO
 
of
 
any
 
issue
 
relating
 
to
 
or
 
affecting
 
the
 
Platform
 
and
 
the
 
Additional
 
Services,
 
and,
 
as
 
applicable,
 
to
 
advise
 
Connect&GO
 
of
 
any
 
change
 
relating
 
to
 
such
 
responsible
 
person.
  3.3  Compliance  with  Timetable.  Each  party  undertakes  to  comply  with  the  Timetable,  
including
 
all
 
actions
 
and
 
deliverables
 
under
 
its
 
responsibility
 
throughout
 
the
 
Subscription
 
Period.
  3.4  Approval  and  Modification .  The  Client  undertakes  to  provide  its  written  approval  
attesting
 
the
 
end
 
of
 
each
 
phase
 
of
 
the
 
Timetable.
 
Written
 
approval
 
of
 
one
 
phase
 
signifies
 
the
 
beginning
 
of
 
the
 
next
 
phase.
  4.  INSURANCE   4.1  Insurance.  Connect&GO  undertakes  to  take  out  and  maintain  in  effect,  at  its  expense,  
the
 
following
 
insurance
 
policies
 
which
 
must
 
be
 
taken
 
out
 
with
 
a
 
reputable
 
insurer
 
duly
 
authorized
 
to
 
carry
 
on
 
business
 
in
 
Quebec:
  i)  general  commercial  liability  insurance  of  at  least  $ 5,000,000;  and   ii)  $1,000,000  workers'  compensation  insurance,  or  equivalent  provincial  
compensation
 
insurance
 
automatically
 
provided
 
to
 
residents
 
of
 
Quebec
 
(
Commission
 
des
 
normes,
 
de
 
l'équité,
 
de
 
la
 
santé
 
et
 
de
 
la
 
sécurité
 
du
 
travail
,
 
“CNESST”),
 
employer’s
 
liability
 
insurance,
 
and
 
any
 
other
 
insurance
 
of
 
the
 
same
 
nature
 
or
 
coverage,
 
or
 
relating
 
to
 
the
 
employment
 
of
 
officers,
 
employees,
 
sub-contractors,
 
representatives,
 
agents
 
or
 
independent
 
contractors,
 
with
 
a
 
minimum
 
similar
 
coverage
 
of
 
$
1,000,000;
  iii)  product  liability  insurance  in  the  amount  of  $ 5,000,000  per  occurrence  and  
$
5,000,000
 
in
 
the
 
aggregate;
