iv) errors & omissions insurance with limits of not less than $ 5,000,000 per occurrence; v) cyber liability insurance with limits of not less than $ 5,000,000 per claim. The cyber liability policy will, at a minimum, provide coverage for (i) network security liability arising from the unauthorized access to, use of, or tampering with computer systems, including hacker attacks or inability of an authorized third-party to gain access to services, including denial of service, unless caused by a mechanical or electrical failure; (ii) liability arising from the introduction of a computer virus into, or otherwise causing damage to, a client's or third-party’s computer, computer system, network, or similar computer related property and the data, software, and programs thereon; and (iii) non-physical business interruption. Within 10 days after the Effective Date of this Agreement and thereafter upon the Client’s request, Connect&GO will provide the Client with endorsements and policies evidencing the foregoing coverage. Connect&GO shall notify Client in writing not less than 30 days prior to any material change, cancellation or termination of the insurance coverage required by this section. 5. FEES AND TERMS OF PAYMENT 5.1 Fees. The Client agrees to pay all fees set out under the Purchase Agreements using one of the payment methods accepted by Connect&GO. The Client agrees to make payments in the currency indicated under the Purchase Agreement. Except where otherwise specified in the Agreement or a Purchase Agreement: i) the fees are established based on the components of the Platform ordered by the Client , regardless of whether or not they are actually used by the Client ; ii) the obligation to make the agreed payments cannot be canceled during a Subscription Period and the fees paid are non-refundable; and iii) the quantity of RFID Chips ordered under a Purchase Agreement cannot be reduced during the Subscription Period under the relevant Purchase Agreement. All sums payable under the Agreement are without any set-off, deduction, or withholding whatsoever by the Client . 5.2 Invoicing and Payment. The payment schedules and terms are set out under the applicable Purchase Agreement. 5.3 Late Fees. If Connect&GO does not receive payment of the fees by the date payment is due, it may then, at its sole discretion, charge a late fee at the annual rate of 15%, calculated monthly, on any balance due between the date the unpaid balance is due and the date such balance is paid. 5.4 Suspension of Access to Platform. If amounts are outstanding and owed by the Client to Connect&GO for 30 days or more, Connect&GO may, without affecting its other rights and remedies, suspend the Client’s access to the Platform until the outstanding amounts have been paid in full. 5.5 Disputes Relating to Payments. Connect&GO agrees not to exercise its rights under paragraph 5.3 or 5.4 when the payment of the costs referred to is the subject of a dispute in good faith and the Client cooperates diligently to resolve it. 5.6 Taxes. The fees set out under the Purchase Agreements do not include taxes, dues, rates, duties, and other fees imposed or collected by or for government entities (collectively referred to as “ Taxes ”) and the Client is fully responsible for the payment of
