including this schedule; (d) upon request, provide all reasonable assistance to the Client to
facilitate
the
exercise
of
the
rights
of
concerned
persons;
(e)
provide
the
information
reasonably
required
by
the
Client
to
fulfill
its
obligations
under
Privacy
Laws
and
to
demonstrate
its
compliance
with
the
provisions
of
this
schedule;
and
(f)
promptly
inform
the
Client
,
upon
receipt
of
a
complaint
from
a
person
regarding
the
manner
in
which
his/her/its
Personal
Information
has
been
processed
and
cooperate
with
the
Client
in
connection
with
any
claim
relating
to
individual
complaints.
3. TRANSFER OF PERSONAL INFORMATION Connect&GO must not transfer the Client’s Personal Information outside the country where it is
hosted
on
the
Effective
Date
unless
the
Client
so
authorizes
in
writing.
4. SECURITY OF INFORMATION AND NOTICE OF SECURITY BREACH 4.1 Connect&GO has set up and undertakes to maintain, during the Subscription Period,
appropriate
technical
and
organizational
measures
to
secure
the
Client’s
Personal
Information,
taking
into
account
the
risk
of
accidental
or
unauthorized
access,
loss,
destruction,
misuse,
modification,
disclosure,
or
deterioration
of
Personal
Information.
4.2 If Connect&GO becomes aware of (i) an accidental loss or destruction, an unauthorized
disclosure,
unauthorized
use
or
unauthorized
access
to
the
Client
Personal
Information,
or
(ii)
the
occurrence
of
a
security
breach
on
any
system
used
to
access
and
use
the
Platform
(each
a
“
Security
Incident
”),
Connect&GO
must,
at
Connect&GO’s
own
expense:
(A)
promptly
(within
no
later
than
48
hours)
report
the
Security
Incident
to
the
Client
and
provide
Client
with
information
reasonably
requested
by
the
Client
relating
to
the
Security
Incident
including
the
cause
of
the
Security
Incident,
the
duration
of
the
Security
Incident,
the
individuals
affected
by
the
Security
Incident,
and
the
types
of
Personal
Information
affected
by
the
Security
Incident;
(B)
mitigate,
to
the
extent
possible,
any
detrimental
effect
of
the
Security
Incident
and
provide
Client
with
information
relating
to
such
mitigation
efforts;
(C)
cooperate
with
the
Client
by
providing
or
assisting
Client
in
providing
any
notice
to
the
Persons
concerned
regarding
the
Security
Incident,
according
to
the
Client's
instructions;
and
(D)
cooperate
with
Client
in
any
investigation
of
the
Security
Incident
which
is
subsequently
undertaken
by
any
Privacy
Commissioner
(including
the
Privacy
Commissioner
of
Canada
and
the
Quebec
Commission
d’accès
à
l’information)
or
regulatory
body
in
matters
of
protection
of
personal
information,
in
consultation
with
the
Client
.
5. COMPLIANCE Connect&GO shall provide the Client (as well as their auditors and other advisers) with all
reasonable
cooperation
and
assistance
regarding
any
request
related
to
compliance
with
this
schedule,
including
following
a
request
made
by
a
Privacy
Commissioner
or
other
regulatory
body.
6. SUBCONTRACTORS If Connect&GO wishes to delegate the processing of the Client Personal Information to a
subcontractor
or
change
a
previously
designated
subcontractor,
Connect&GO
shall
provide
notice
of
such
appointment
or
change
of
appointment
to
the
Client
.
All
subcontractors
retained
by
Connect&GO
and
having
access
to
the
Client
Personal
Information
(unencrypted)
shall
be
retained
under
written
agreements
providing
for
terms
and
obligations
equivalent
to
those
of
this
schedule
and
other
relevant
parts
of
the
Agreement.
