explaining
 
the
 
Platform’s
 
functions.
  m)  “ Service  Levels ”  has  the  meaning  set  out  in  12.13Schedule  B.  n)  “ Effective  Date ”  has  the  meaning  set  out  in  the  heading  of  this  document.   o)  “ Event  of  Superior  Force ”  has  the  meaning  set  out  in  subsection  12.13.  p)  “ Excluded ”  has  the  meaning  set  out  in  Schedule  B.  q)  “ Hardware ”  means  the  material  and  hardware  forming  part  of  the  Platform,

  r)  “ Initial  Period ”  has  the  meaning  set  out  in  subsection  11.1.  s)  “ Online  Software ”  means  the  web  applications  and  other  Connect&GO  software

available
 
online.
  t)  “ Personal  Information ”  has  the  meaning  set  out  in  Schedule  C.  u)  “ Platform ”  means  the  Connect&GO  platform  relating  to  access  control,  cashless  
payment,
 
online
 
ticketing,
 
and
 
any
 
other
 
additional
 
content,
 
tools,
 
and
 
set
 
of
 
services
 
forming
 
part
 
of
 
the
 
product
 
line
 
marketed
 
by
 
Connect&GO,
 
including
 
modules
 
relating
 
to
 
rental
 
and
 
reservation
 
of
 
resources,
 
Software,
 
Hardware,
 
and
 
RFID
 
Chips.
 
The
 
term
 
“Platform”
 
also
 
includes:
 
(a)
 
hosting,
 
administration,
 
management,
 
and
 
system
 
monitoring
 
services
 
in
 
connection
 
with
 
the
 
Online
 
Software
 
constituting
 
the
 
Platform,
 
and
 (b)  technical  support  services  and  software  maintenance  with  regards  to  
Software
 
and
 
Hardware.
  v)  “ Purchase  Agreement(s) ”  means  all  purchase  agreements  (i)  signed  by  the  
parties
 
or
 
between
 
the
 
Client
 
and
 
a
 
subsidiary
 
of
 
Connect&GO,
 
(ii)
 
subject
 
to
 
the
 
provisions
 
of
 
the
 
Agreement,
 
and
 
(iii)
 
confirming
 
the
 
quantities,
 
prices,
 
and
 
other
 
commercial
 
agreements
 
applicable
 
to
 
the
 
acquisition
 
of
 
additional
 
Software,
 
Hardware,
 
and
 
Services.
  w)  “ Receiving  Party ”  has  the  meaning  set  out  in  subsection  7.1.  x)  “ Renewal  Period ”  has  the  meaning  set  out  in  subsection  11.1.  y)  “ RFID  Chips ”  means  the  radio-identification  chips,  regardless  of  the  protocol  used.   z)  “ Software ”  means  the  proprietary  Connect&GO  software  and  applications  that

Platform,
 
including
 
Online
 
Software.

greater
 
clarity,
 
the
 
Software
 
does
 
not
 
include
 
Third
 
Party
 
Products.
  aa)  “ Subscription  Period ”  collectively  means  the  Initial  Period  and  any  Renewal  Period(s).   bb)  “ Suggestion ”  has  the  meaning  set  out  in  subsection  6.1.  cc)  “ Taxes ”  has  the  meaning  set  out  in  subsection  5.6.
