Agreement for Development of 
Trail Improvements
Between City of Smyrna and Trust for Public Land
This Agreement (“Agreement”) is entered into and effective on the date of execution by City of 
Smyrna, (“Effective Date”), by and between CITY OF SMYRNA, a political subdivision of the 
State of Georgia (the “CITY”) and the TRUST FOR PUBLIC LAND, a non-profit 501(c)(3) 
California Corporation doing business in the State of Georgia as Trust for Public Land (Inc.) 
(“TPL”), hereinafter collectively referred to as the “Parties”.  
WITNESSETH:
WHEREAS, The RiverLands Showcase project includes more than 160 acres of community park 
space; a 2.7-mile greenway and multi-use trail designed for walkers, bikers, strollers, and 
wheelchairs; a 2-mile tributary trail connecting the adjacent neighborhood to the river; and
WHEREAS, The “Industrial Section” of the RiverLands Showcase is a greenway trail (0.7 miles) 
located near the Chattahoochee River between Riverview Park in the City of Smyrna and 
Discovery Park in Cobb County; and
WHEREAS, TPL is a conservation organization having among its purposes the acquisition and 
improvement on behalf of the public of open space, scenic, and recreational lands and trails; and
WHEREAS, TPL and CITY entered into a Memorandum of Understanding for Temporary Site 
Access dated November 12, 2024 to design and construct a recreational bicycle and pedestrian 
trail and associated amenities across CITY property and a trail easement owned by 
TPL(“RiverLands Trail Extension”); and
WHEREAS, TPL intends complete construction of the Riverlands Trail Extension in the fall of 
2027; and
WHEREAS, as part of the Industrial Section of RiverLands Showcase project, TPL desires to 
extend the completed Riverlands Trail Extension from Riverview Park to Veterans Memorial 
Highway with a bicycle and pedestrian trail (“Project”); and 
WHEREAS, CITY is the owner of real property identified as Tax Parcel Ns. 180175000120 and 
the CITY owns the right of way along Riverview Road and the Georgia Department of 
Transportation (“GDOT”) owns the right of way along Veteran’s Memorial Highway which is 
adjacent to Tax Parcel Nos. 18028300080, 18028400060, 18028400020, 18028400080, located in 
Cobb County, Georgia, along the Chattahoochee River, as further described on Exhibit “A” 
attached hereto, and made a part hereof and hereinafter referred to as the “Project Site”; and
WHEREAS, TPL desires to work with the CITY to design, develop, and construct the Project and 
to perform all related fundraising activities; and
