5 expense or TPL’s Vendor’s expense, which coverages shall include the same coverages as specified for TPL, and further agrees to furnish TPL Vendor’s Certificate of Insurance to County prior to the commencement of the Site Work. 5. Cost/Lien-Free Construction and Compliance with Laws. TPL shall bear and promptly pay, without the imposition of any lien or charge on or against all or any portion of the Project Site, all costs and expenses of construction and maintenance of the Site Work. TPL shall construct the Site Work in a workmanlike manner and in compliance with the applicable statutes, ordinances, rules and regulations of all governing public authorities as those statutes, ordinances, rules and regulations are amended from time to time. 6. Covenants Running with the Land/Assignment. The parties to these Easements acknowledge and agree that the Easements and other rights conferred by this Agreement are intended to, and do, constitute covenants that run with the land and shall inure to the benefit of and be binding upon the parties hereto and their respective heirs, successors, and assigns. 7. Notices. All notices pertaining to this Agreement shall be in writing or electronic and delivered to the parties hereto by electronic mail, personally by hand, courier service (such as FedEx or UPS) or Express Mail, or by first class mail, postage prepaid, at the addresses set forth below. All notices shall be deemed given when deposited in the mail, first class postage prepaid, addressed to the party to be notified; or, if delivered by hand, courier service or Express Mail, shall be deemed given when delivered; or, if transmitted by electronic mail, shall be deemed given when transmitted. The CITY’s primary liaison with TPL shall be _____________________, and the TPL employee responsible for administering this Agreement shall be Christine Hassell, provided that the CITY and TPL reserve the right to substitute personnel at any time.
