CITY PARK CONCESSIONS, LLC shall provide ce1tificates of insurance 
evidencing the coverage requested herein before the execution of this agreement, 
and at any time during the term of the Agreement upon the request of the City, 
CITY PARK CONCESSIONS, LLC shall provide proof sufficient to the 
satisfaction of the City that such insurance continues in force and effect to 
coincide with the dates of the event, including the day prior to and the day 
following the event. The city shall provide to CITY PARK CONCESSIONS, 
LLC the names of all additional insured no later than 10 days prior to the 
event. 
 
11. Entire Agreement.  This Agreement supersedes and replaces any existing Agreement, 
written or otherwise, entered between, or among CITY PARK CONCESSIONS, LLC 
and Client relating to the subject matter hereof, and no modification shall be valid unless 
in writing and signed by both CITY PARK CONCESSIONS, LLC and a duly authorized 
representative of the Client. 
 
12. Governing Law.  This Agreement shall be construed and enforced according to the laws 
of the State of Georgia. 
 
13. Severability.  If any provision of this Agreement shall be held invalid or unenforceable 
in whole or in part, those provisions, to the extent enforceable, and all other provisions 
shall nevertheless continue to be valid and enforceable as though the invalid or 
unenforceable parts had not been included in this Agreement.  If any provision relating to 
the time period or scope of a restriction shall be declared by a court of competent 
jurisdiction to exceed the maximum time period or scope of the restriction deemed 
reasonable by the court, the time period or scope of the restriction deemed reasonable by 
the court shall become and shall thereafter be the maximum time period or the applicable 
scope of the restriction. 
 
14. Confidentiality.  No part of this agreement or its terms will be disclosed by either party 
to any other outside party, without the consent of the other party.
