14 July 24, 2025 Governing Law and Consent to Jurisdiction This Agreement shall be governed by and construed and enforced in accordance with the laws of the State of Georgia. This Agreement shall be deemed to have been made and performed in Smyrna, Georgia. For the purpose of venue, all suits or cause of action arising out of this Agreement shall be brought in the courts of Cobb County, Georgia, notwithstanding any other provision of Georgia law, including any right to be sued in the City of the headquarters of any party. Waiver of Breach The waiver by either party of a breach or violation of any provision of this Agreement shall not operate or be construed to constitute a waiver of any subsequent breach or violation of the same or other provision thereof. Disputes No civil action with respect to any dispute, claim or controversy arising out of or relating to this Agreement may be commenced without first giving at least fourteen (14) calendar day s’ written notice to the party against whom such action is to be commenced, of the claim and the intent to initiate a civil action. Severability If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions of the Agreement shall continue to be valid and enforceable. Entire Agreement This Agreement contains the entire agreement between the parties with respect to the subject matter hereof a nd thereof and supersedes and replaces any and all prior and contemporaneous discussions, representations, understandings and agreements, whether oral or written regarding the same subject matter.
