9. State and Local Requirements. The Subrecipient shall undertake and perform its project in strict 
compliance with applicable state and local laws, regulations and requirements.
10. No Liability. The City, HUD, and the United States shall not be liable to the Subrecipient for any costs, 
damages, claims, liabilities, and judgments that arise in connection with the performance of activities 
pursuant to this Agreement, including damage to any property owned by the Subrecipient or any 
third party.

related to this Agreement. Any revision to these organizational contacts requires notification to the 
other party.

12. Notification. The Subrecipient shall immediately notify the City of developments that have a 
significant impact on the activities supported under this Subaward. Also, notification must be given 
in case of problems, delays or adverse conditions that materially impair the ability to meet the 
objectives of the Subaward. This notification must include a statement of the action taken or 
contemplated, and any assistance needed to resolve the situation.
13. Dispute Resolution. This Agreement anticipates that the City and the Subrecipient will work together 
in good faith. In the event a dispute arises concerning this Agreement or the Subrecipient’s project, 
the City and the Subrecipient agree to use their best efforts to resolve any disputes arising between 
them as efficiently and cost effectively as possible. At all times, the City and the Subrecipient will 
provide candid and timely disclosure of all relevant facts to facilitate negotiations, and each will
